Nicole Cabalette’s transactional practice emphasizes business and real estate law.
In her business practice, Nicole advises start-up, emerging and established businesses on a wide range of matters, including entity selection, formation, corporate governance, securities regulation, debt and equity financing, executive compensation and stock option plans, consulting, employment and service provider agreements, and dissolution and dissociation. She also advises public charities, foundations and other nonprofit associations regarding formation, tax and governance. Nicole is experienced in drafting and negotiating stock, membership interest and asset purchase agreements, buy-sell agreements, equipment leases and licensing agreements. She also serves as outside counsel for businesses in a variety of industries including technology, real estate, financial services, food and wine, and professional medical, legal, and accounting services.
Nicole’s real estate practice focuses on the acquisition, financing, development, leasing and disposition of commercial and residential real estate. She is experienced in drafting and negotiating leases, purchase and sale agreements, tenant-in-common and other co-ownership agreements and easement agreements. Nicole counsels clients on all matters related to real estate, including taxation, title, asset protection, property management and entity formation.
During law school, Ms. Cabalette worked as a law clerk with the United States Environmental Protection Agency, Region IX, Office of Regional Counsel, and with the Enforcement Division of the California Coastal Commission. She was also a legal intern with the San Francisco Office of the City Attorney, focusing on real estate and land use matters.
Prior to joining the firm in 2008, Ms. Cabalette worked in San Francisco on a variety of business law matters, including securities regulation and breach of contract disputes.
Born and raised in the Bay Area, Ms. Cabalette is one of four Bay Area natives in the firm.
